Terms & Conditions – Synergy EU Wholesale

 


 

1. Scope & Applicability

 


These Terms & Conditions (“Terms”) apply to all business-to-business (B2B) sales made through the Synergy EU wholesale store (“Synergy,” “we,” “us,” or “our”). By placing an order, the purchaser (“Customer,” “you”) agrees to be bound by these Terms.


These Terms apply exclusively to commercial buyers. Consumer protection laws do not apply.

 

 

 

2. Eligibility

 


Purchases are limited to verified wholesale customers, including retailers, distributors, teams, and organizations approved by Synergy. Synergy reserves the right to approve, suspend, or revoke wholesale accounts at its sole discretion.

 

 

 

3. Orders & Acceptance

 


All orders are subject to acceptance by Synergy. Order confirmation does not constitute acceptance. We reserve the right to refuse or cancel orders due to availability, pricing errors, or account status.

 

 

 

4. Pricing & Payment

 

 

  • All prices are shown in EUR unless otherwise stated.

  • Prices exclude VAT, customs duties, import taxes, and shipping unless explicitly noted.

  • Payment terms are as agreed upon account approval or stated on the invoice.

  • Late payments may result in account suspension or delayed shipments.

 

 

 

 

5. Shipping & Delivery

 

 

  • Delivery times are estimates only and not guaranteed.

  • Risk of loss passes to the Customer upon dispatch from our fulfillment facility.

  • Shipping costs are borne by the Customer unless otherwise agreed in writing.

 

 

 

 

6. Customs, Duties & Taxes

 


The Customer is responsible for all applicable import duties, taxes, customs fees, and compliance with local regulations outside the EU. Synergy is not responsible for delays caused by customs authorities.

 

 

 

7. Returns & Claims

 

 

  • All sales are final unless otherwise agreed in writing.

  • Claims for defective or incorrect items must be submitted in writing within 7 days of delivery.

  • Approved returns require prior written authorization. Unauthorized returns will not be accepted.

 

 

 

 

8. Product Use & Liability

 


Products are intended for sporting and athletic use. The Customer is responsible for proper resale, fitting guidance, and end-user education.


Synergy shall not be liable for indirect, incidental, or consequential damages arising from product use, resale, or inability to sell.

 

 

 

9. Intellectual Property

 


All trademarks, logos, product names, images, and marketing materials are the exclusive property of Synergy. Use of Synergy intellectual property is permitted solely for resale and marketing of Synergy products and may not be altered without prior written consent.

 

 

 

10. Confidentiality

 


Wholesale pricing, terms, and non-public product information are confidential and may not be disclosed to third parties without written permission.

 

 

 

11. Termination

 


Synergy reserves the right to terminate or suspend any wholesale account at any time for breach of these Terms or misuse of the wholesale program.

 

 

 

12. Governing Law & Jurisdiction

 


These Terms shall be governed by and construed in accordance with the laws of the European Union and, where applicable, the laws of the country in which Synergy EU is established. Any disputes shall be subject to the exclusive jurisdiction of the competent courts therein.

 

 

 

13. Amendments

 


Synergy reserves the right to update or modify these Terms at any time. Continued use of the wholesale store constitutes acceptance of the updated Terms.
